Terms and Conditions of Use

1. Terms and Conditions of Use of Platform 

The Global Marketplace platform (“Platform”) is provided by Aga Khan Foundation Canada (“AKFC”) conditional on your acceptance of the terms and conditions of use set out below (“Terms and Conditions”). By accessing, reading and making use of this Site, you agree, on your own behalf and on behalf of any entity on whose behalf you may be acting, to be bound by these Terms and Conditions and to comply with all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Platform. 

2. Acknowledgment and Acceptance of Terms 

I understand that the Platform is a venue for connecting contractors and businesses. I acknowledge that the Platform is a neutral intermediary and that AKFC does not provide any contracting services or participate in any transactions between users. 

3. No Warranty 

The materials and services on the Platform are provided “as is”. AKFC makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.  

While AKFC may conduct limited qualification checks on businesses or contractors before allowing them to use or post on the Platform, such checks are not exhaustive and do not constitute endorsements, certifications or guarantees of any kind. AKFC does not warrant or make any representations concerning the accuracy, reliability, or completeness of any information provided by users of the Platform, nor the quality, legality or performance of any services they offer or provide.   

The Platform is a neutral venue intended solely to facilitate connections between businesses and contractors. AKFC is not a party to, and has no control over any transactions, communications or agreements between users of the Platform.  While AKFC strives to maintain the availability and smooth operations of the Platform, it does not guarantee that the Platform will always be uninterrupted, error-free, or free from technical issues.  

4. Limitation of Liability 

In no circumstances shall AKFC, its officers, or employees be responsible or liable for any loss or damages whatsoever, including (without limiting the generality of the foregoing) damages for loss of data or profit, or goodwill, or due to business interruption, any direct, indirect, incidental, special, punitive or consequential damages, arising from or in connection with your use of, access to or your reliance on, or your inability to use or access the Platform, any contents of this Site, any information provided through this Site, any external links on this Site, any website linked to this Site, or any contents thereof, any website linking to this Site, or any contents thereof, or any delivery, hosting and ancillary services or facilities of third party suppliers utilized by AKFC. 

AKFC is not responsible and assumes no liability for third party contents of this Site or third-party information provided through this Site or on the Platform. 

AKFC is not a party to any contract or transaction between contractors and businesses who connect via the Platform and does not endorse, guarantee, or assume any responsibility for any services provided by such parties. 

I agree to indemnify, defend and hold harmless AKFC from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees and costs) arising out of or in any way connected with my use of the Platform or violation of this acknowledgment.   

5. Indemnification  

I agree to indemnify, defend, and hold harmless AKFC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with my use of the Platform or violation of these terms. 

6. Revisions and Errata 

The materials available on the Platform may include technical, typographical, or photographic errors. While AKFC strives to ensure the accuracy and reliability of the content, it does not warrant that any of the materials on this Site or on the Platform are accurate, complete, or current. AKFC may make changes to the materials contained on this Site or on the Platform at any time without notice but does not commit to updating them on a regular basis.  

7. Links 

AKFC has not reviewed all the sites linked to its website or to the Platform and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by AKFC of the site. Use of any such linked website is at the user’s own risk. 

8. Modifications to Terms and Conditions of Use 

AKFC may add to or remove, modify or otherwise change any part of the Terms and Conditions at any time without notice.  Changes will be effective when the changed Terms and Conditions are posted on this Site. 

9. Applicable Law 

All matters relating to access to, or use of, this Site, the Platform or any website linked to this Site, shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein. 

10. Agreement to Privacy Policy 

AKFC respects your desire for privacy. AKFC’s Privacy Policy can be found by clicking here. By accessing this Site and the Platform, you are consenting to the collection, use and disclosure of your personal information and to the terms of our Privacy Policy. If we decide to change our Privacy Policy, we will post the revised policy prominently through the above link or otherwise bring it to your attention, so that you are always aware of what we do with your information.
