Risk and Liability.

Prior to initiating a transaction, businesses are required to sign the following Acknowledment of Risk and Liability (shared via email):
By signing below, I acknowledge that I have read, understood and agree to the following terms regarding my use of the Global Marketplace platform (“Platform”).
1. Acknowledgment and Acceptance of Terms
I understand that the Platform is a venue for connecting contractors and businesses. I acknowledge that the Platform is a neutral intermediary and does not provide any contracting services or participate in any transactions between users.
2. No Warranty
I understand that no representations or warranties, express or implied, are made regarding the operation of the Platform or the information, content, materials, or products available through it. I accept that my use of the Platform is at my sole risk.
3. Limitation of Liability
To the fullest extent permitted by law, I agree that the Platform owner and/or operator shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from my use of the Platform, including but not limited to loss of profits, data, or goodwill.
4. Indemnification
I agree to indemnify, defend and hold harmless the Platform owner and/or operator from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees and costs) arising out of or in any way connected with my use of the Platform or violation of this acknowledgment.
5. No Involvement in Transactions
I acknowledge and agree that the Platform owner and/or operator is not a party to any contract or transaction between contractors and businesses who connect via the Platform and does not endorse, guarantee, or assume any responsibility for any services provided by such parties.
6. Governing Law
I agree that this acknowledgment is governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
7. Severability
If any provision of this acknowledgment is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
8. Entire Agreement
This document constitutes the entire understanding regarding the subject matter and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter.
